1. Agreement to These Terms
These Terms and Conditions (“Terms”) govern your use of the website at https://www.momentumfluids.com/ (the “Site”) and, where indicated, our operations applications (MudHub, FluidPulse and the Customer Portal, together the “Applications”), all operated by Momentum Drilling Fluids LLC (“Momentum,” “we,” “our,” or “us”). By accessing or using the Site or the Applications, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use them.
2. Who We Are
Momentum Drilling Fluids LLC is a drilling fluids provider based in Texas. You can reach us at P.O. Box 1366, Houston, TX 77251, or at info@momentumfluids.com.
3. Use of the Site
The Site is provided for general information about our company, products and services. You may view, download and print pages for your own business or personal reference. You agree not to: use the Site for any unlawful purpose; attempt to gain unauthorized access to any part of the Site, our systems or networks; interfere with the Site’s operation or security; copy, scrape or harvest content or data by automated means; or misrepresent your identity or affiliation.
4. Operations Applications and Accounts
Access to the Applications is by invitation only and is limited to Momentum employees, authorized customer personnel and authorized supplier personnel. If you are given login credentials, you are responsible for keeping them confidential and for all activity under your account, and you agree to notify us promptly of any unauthorized use. Information entered into the Applications is used to plan, order, deliver, track and account for drilling fluids products and services, as described in our Privacy Policy. We may suspend or end access at any time, including when a person is no longer authorized by their employer.
5. Text Messaging Terms
By opting in — through MudHub, FluidPulse, your supplier account settings, or by giving us written or keyword consent — you agree to receive operational text messages from Momentum Drilling Fluids LLC, such as new order alerts, order and delivery status updates, and order or pickup coordination. These are not marketing messages. Message frequency varies with rig and order activity. Message and data rates may apply. Reply STOP to cancel at any time and HELP for help, or email info@momentumfluids.com. Carriers are not liable for delayed or undelivered messages.
6. Intellectual Property
The Site, the Applications and their content — including text, graphics, logos, product names, images, software and design — are owned by Momentum or its licensors and are protected by copyright, trademark and other laws. Except as allowed in Section 3, you may not reproduce, distribute, modify or create derivative works from any content without our written permission. “Momentum Drilling Fluids” and our logos are trademarks of Momentum Drilling Fluids LLC.
7. Product and Service Information
Product and service descriptions on the Site are general in nature and are provided for information only. They are not an offer to sell, and specifications, availability and pricing may change without notice. Sales of products and services are governed by the quotation, purchase order, master service agreement or other written agreement between Momentum and the customer, which controls over these Terms. The performance of drilling fluids depends on well conditions and operating practices; nothing on the Site guarantees a particular result.
8. Third-Party Links and Services
The Site and the Applications may link to or rely on third-party websites and services that we do not control. We are not responsible for their content, availability or privacy practices, and a link does not imply our endorsement.
9. Disclaimer of Warranties
The Site and the Applications are provided “as is” and “as available.” To the fullest extent permitted by law, Momentum disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the Site or the Applications will be uninterrupted, error-free or free of harmful components.
10. Limitation of Liability
To the fullest extent permitted by law, Momentum and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or business, arising out of or in connection with your use of the Site or the Applications, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Momentum from any claims, losses and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or the Applications or your violation of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be brought in the state or federal courts located in Harris County, Texas, and you consent to their jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted on this page, and the “Last Updated” date will show the most recent revision. Continued use of the Site or the Applications after a change means you accept the updated Terms.
